For a Queue Management SaaS Platform

These Terms of Use ("Terms") govern access to and use of the queue management software-as-a-service platform ("Platform" or "Service") operated by HawDi Technologies ("Company", "we", "our", or "us").
By accessing or using the Platform, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not use the Platform.
1. Definitions
For purposes of these Terms:
- "Business Client" means any business, organization, or entity subscribing to or using the Platform.
- "End User" means any individual accessing queues, reservations, or notifications through the Platform.
- "Content" means all data, text, images, information, and materials submitted through the Platform.
- "Account" means a registered account used to access the Platform.
2. Eligibility
You may use the Platform only if:
- You have legal capacity under applicable law;
- You are authorized to bind the business or organization you represent; and
- Your use complies with these Terms and applicable laws.
3. Description of Service
The Platform provides digital queue management and related services, including but not limited to:
- Queue registration and management
- Reservation systems
- Wait-time tracking
- Customer notifications
- QR code queue access
- Operational analytics
- Customer communication tools
We may modify, update, suspend, or discontinue parts of the Service at any time.
4. Account Registration
Users may be required to create an Account to access certain features.
You agree to:
- Provide accurate and complete information;
- Keep login credentials secure;
- Promptly update account information;
- Accept responsibility for activities under your Account.
You must immediately notify us of any unauthorized access or security breach.
5. Acceptable Use
Users agree not to:
- Use the Platform unlawfully;
- Interfere with system security or operations;
- Upload malicious software or harmful code;
- Attempt unauthorized access to systems or data;
- Use automated tools to scrape or overload the Platform;
- Impersonate another person or entity;
- Use the Platform for fraudulent or misleading activities;
- Violate intellectual property rights or privacy rights.
We reserve the right to suspend or terminate accounts violating these Terms.
6. Business Client Responsibilities
Business Clients are responsible for:
- Managing their staff accounts and permissions;
- Ensuring lawful collection and use of customer data;
- Providing accurate queue and reservation information;
- Maintaining compliance with applicable laws, including Thailand's PDPA;
- Obtaining necessary customer consents where required.
Business Clients remain responsible for content and data submitted through the Platform.
7. End User Responsibilities
End Users agree to:
- Provide accurate information when joining queues or making reservations;
- Use the Platform only for legitimate queue or booking purposes;
- Avoid misuse or disruption of services.
Businesses using the Platform may independently establish service policies, queue rules, cancellation policies, or reservation conditions.
8. Fees and Payment
Certain features may require paid subscriptions or service fees.
Unless otherwise agreed:
- Fees are billed in advance;
- Payments are non-refundable;
- Late or failed payments may result in suspension or termination of access.
We may revise pricing upon prior notice.
9. Intellectual Property
All rights, title, and interest in the Platform, including software, branding, designs, text, graphics, and technology, remain the exclusive property of the Company or its licensors.
These Terms do not transfer ownership rights to users.
Users may not:
- Copy, modify, reverse engineer, distribute, resell, lease, license, or create derivative works from the Platform without written permission.
10. Data and Privacy
Our collection and use of personal data are governed by our Privacy Policy.
By using the Platform, users acknowledge and agree to the processing of personal data in accordance with applicable laws and our Privacy Policy.
11. Third-Party Services
The Platform may integrate with third-party services, including:
- LINE notifications
- SMS providers
- Payment gateways
- Cloud hosting providers
We are not responsible for third-party services, availability, or content.
Use of third-party services may be subject to separate terms and policies.
12. Service Availability
We aim to maintain reliable service availability but do not guarantee uninterrupted or error-free operation.
The Platform may occasionally experience:
- Maintenance downtime
- Technical failures
- Internet disruptions
- Third-party service interruptions
We are not liable for delays, outages, or loss resulting from such events.
13. Disclaimer of Warranties
To the maximum extent permitted by law, the Platform is provided "as is" and "as available."
We disclaim all warranties, including:
- Merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy
- Reliability
- Availability
We do not guarantee that:
- The Platform will be uninterrupted
- Errors will be corrected
- The Platform will be free of harmful components
14. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for:
- Indirect damages
- Incidental damages
- Consequential damages
- Loss of profits
- Loss of data
- Business interruption
- Loss of goodwill
Our total liability relating to the Platform shall not exceed the fees paid by the Business Client during the twelve (12) months preceding the claim.
Some jurisdictions may not allow certain limitations, so parts of this section may not apply.
15. Indemnification
Users agree to indemnify and hold harmless the Company, affiliates, officers, employees, and partners from claims, damages, liabilities, and expenses arising from:
- Violation of these Terms;
- Misuse of the Platform;
- Violation of laws or third-party rights.
16. Suspension and Termination
We may suspend or terminate access to the Platform if:
- Users violate these Terms;
- Payment obligations are not met;
- Activities create security, legal, or operational risks.
Users may stop using the Platform at any time.
Termination does not affect accrued rights or obligations.
17. Force Majeure
We are not liable for delays or failures caused by events beyond reasonable control, including:
- Natural disasters
- Internet outages
- Government actions
- Labor disputes
- Cyberattacks
- Power failures
18. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the Kingdom of Thailand.
Any disputes arising from these Terms shall fall under the jurisdiction of Thai courts unless otherwise required by law.
19. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be posted on the Platform with a revised effective date.
Continued use of the Platform after changes constitutes acceptance of the revised Terms.
